Terms of Service

Welcome to Migratez (“Migratez”, “we”, “our” or “us”), a CRM data migration service operated by an Indian Proprietorship.

These Terms of Service (“Terms”) govern your access to and use of the Migratez website (“Website”) and the Migratez service (“Service”), including all tools, data migration utilities, and related offerings provided by Migratez.


1. Acceptance of Terms

By accessing or using the Migratez Website or Service, you confirm that you have read, understood, and agreed to be bound by these Terms of Service and our Privacy Policy. If you are accessing or using the Service on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, in which case “you” shall refer to that entity. If you do not have such authority, or if you do not agree to all the Terms, you must not access or use the Website or Service.


2. Modification to Terms

We may occasionally update these Terms of Service to reflect changes in our business, legal requirements, or service offerings. If we make material changes, we’ll update the “Last Updated” date at the top of this page and, where reasonably possible, provide additional notice (such as a notice on the Website or via email).

We also reserve the right to improve, modify, pause, or discontinue any part of the Website or Service at our discretion. While we strive to ensure continuity, there may be times when changes are made without advance notice — for example, to maintain security, comply with legal obligations, or respond to unforeseen circumstances.

By continuing to use the Website or Service after any changes become effective, you agree to be bound by the revised Terms. If you do not agree to the updated Terms, you should discontinue use of the Website and Service.


3. Intellectual Property & Ownership

Unless otherwise stated, all content, software, design elements, and materials available on the Website or through the Service — including but not limited to logos, graphics, interface elements, text, scripts, visual design, source code, and trademarks — are the intellectual property of Migratez, operated by an Indian Proprietorship, or its licensors, and are protected by applicable copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Website and Service solely for their intended purpose — evaluating and/or using our CRM migration offerings for your own business or personal needs.

You may not:

• Copy, reproduce, distribute, modify, or create derivative works based on any part of the Website or Service;

• Use our name, logo, or branding without prior written permission;

• Reverse engineer, decompile, or otherwise attempt to derive source code from any part of the Service.

All rights not expressly granted to you under these Terms are reserved by Migratez.

Nothing in these Terms shall be interpreted as granting any license or right to use any trademark, logo, or service mark displayed on the Website without our prior written consent.

4. User Conduct

To ensure a secure, fair, and professional environment for all users, you agree to use the Migratez Website and Service in a lawful and responsible manner. By accessing or using the Service, you agree not to:

1. Violate any applicable laws or regulations in connection with your use of the Website or Service.

2. Use the Service for any unlawful, fraudulent, or harmful purpose, including attempting unauthorized access to systems, interfering with security features, or disrupting other users’ experience.

3. Upload, transmit, or distribute any content that is malicious, defamatory, abusive, obscene, harassing, infringing, or otherwise objectionable.

4. Reverse engineer, decompile, or attempt to extract source code from the Service, unless permitted by applicable law or authorized in writing by Migratez.

5. Access or use the Service through automated means (e.g., bots, scrapers, or scripts) without prior written permission.

6. Use the Service in a way that violates the rights of others, including intellectual property rights, privacy rights, or contractual obligations.

7. Attempt to misrepresent your identity or affiliation, including impersonating another person or entity.

8. Upload viruses, malware, or harmful code or attempt to degrade the performance or security of the Service.

9. Resell, sublicense, or commercially exploit any part of the Website or Service without our express written consent.


Migratez reserves the right to suspend or terminate your access to the Service if you engage in any behavior that violates these Terms or that, in our reasonable judgment, harms our reputation or the experience of other users.

5. Account Terms

To access certain features or use the Migratez Service, you may need to create an account on the Website. By registering, you confirm that you are at least 18 years old and legally capable of entering into binding contracts. If you are registering on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

You agree to provide accurate, complete, and up-to-date information when creating your account, and to keep this information current at all times. Migratez is not responsible for any issues that arise from inaccurate or outdated account information.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. If you suspect any unauthorized use of your account, you agree to notify us immediately. We are not liable for any loss or damage resulting from your failure to safeguard your account access.

You may not use the Service for any unlawful or unauthorized purpose, and you must comply with all applicable laws and regulations in connection with your use of the Website and Service. We reserve the right to suspend or terminate your account at any time, without notice, if we believe you have violated these Terms or engaged in conduct that may harm our platform, reputation, or other users. This includes any verbal, written, physical, or other form of abuse, harassment, or threatening behavior directed toward our employees, partners, representatives, or support personnel.

By creating an account, you consent to receive transactional, administrative, and service-related communications from us. We may also send you promotional emails, which you may opt out of at any time by following the unsubscribe instructions in those communications.


6. Service Specific Terms

Migratez offers a software-assisted and/or expert-guided CRM data migration service that helps users securely transfer records between supported CRM platforms. By using the Service, you agree to the following:

The Service is provided on an “as is” and “as available” basis. While we make reasonable efforts to ensure data integrity during migration, successful outcomes depend on several external factors — including the availability and behavior of third-party APIs, the structure and quality of the source data, and the compatibility between source and destination CRMs. Migratez does not guarantee exact field-level parity, preservation of custom configurations, or a fully error-free outcome unless such conditions have been explicitly scoped and confirmed in writing.

To support accurate and non-redundant data migration, Migratez retains limited metadata about your records — such as unique identifiers from the source and destination systems. This metadata is used solely for technical purposes such as mapping, deduplication, conflict detection, and operational continuity. It is not used for analytics, marketing, or any unrelated activity, and is only stored for the time necessary to perform the migration.

For migrations involving file attachments or documents, such files may be temporarily held in secure object storage to facilitate syncing between systems. These files are not stored permanently. Their removal is automatically handled by routine system maintenance procedures once they are no longer needed for processing.

You retain full ownership of all your CRM data and content. Migratez does not claim ownership over any customer data processed through the Service and does not access, use, or disclose it for any purpose beyond the execution of the migration. We do not share your data with any third parties.

We reserve the right to improve, modify, suspend, or discontinue any part of the Service at any time. While we aim to provide advance notice where feasible — especially if changes may impact active migrations — certain adjustments may take effect immediately due to operational, legal, or security considerations. Your continued use of the Service after such changes constitutes acceptance of the modified Service.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Migratez and its partners, affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, whether incurred directly or indirectly, arising from or related to:

• your use of or inability to use the Service;

• delays, interruptions, or errors in data migration;

• data discrepancies between source and destination platforms;

• third-party service failures, limitations, or API restrictions;

• unauthorized access to your account or data due to your failure to maintain adequate security.

Migratez’s total liability for any claim arising out of or relating to these Terms, the Website, or the Service, regardless of the cause of action, shall be strictly limited to the total amount paid by you (if any) to Migratez for the Service in the thirty (30) days preceding the event giving rise to the claim.

This limitation of liability applies regardless of the legal theory under which such liability is asserted, whether in contract, tort (including negligence), warranty, or otherwise, and even if Migratez has been advised of the possibility of such damages.

Some jurisdictions may not allow the exclusion or limitation of certain types of damages. In such cases, our liability will be limited to the minimum extent permitted by applicable law.


8. Disclaimer

The Migratez Website and Service are provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied. To the maximum extent permitted by applicable law, Migratez disclaims all warranties, express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, reliability, availability, non-infringement, or uninterrupted access.

While we strive to deliver accurate and dependable data migration, we do not warrant that the Service will be error-free, secure, timely, or free of interruptions or that any data migrated will be complete, accurate, or function identically in the destination platform. Differences in data formats, API behavior, and third-party system limitations may affect the final outcome.

Migratez does not provide legal, financial, or technical advice through the Website or Service. Any reliance you place on materials or guidance provided is strictly at your own risk, and you are solely responsible for validating the results of any migration.

We make no guarantees regarding the availability or continued operation of the Website or Service. Scheduled maintenance, upgrades, or external disruptions may cause temporary unavailability.

If you are using the Service in a jurisdiction that does not allow the exclusion of certain warranties, some of the above limitations may not apply to you. In such cases, Migratez’s liability shall be limited to the minimum extent permitted by applicable law.


9. Indemnification

You agree to indemnify, defend, and hold harmless Migratez and its partners, affiliates, directors, officers, employees, and agents, from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:

• your access to or use of the Website or Service;

• your violation of these Terms or any applicable law or regulation;

• any data or content submitted, transferred, or processed through the Service by you or on your behalf, including any alleged or actual infringement of intellectual property, privacy, or data protection rights of any third party;

• your misuse of the Service, including any unauthorized use of systems, tools, or credentials;

• any claim or dispute between you and a third party arising from use of the Service.

Migratez reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. In such cases, you agree to cooperate fully with our defense and not to settle any matter without our prior written consent.

This clause will survive the termination or expiration of these Terms and your use of the Website or Service.


10. Data Privacy

Your privacy is important to us. Migratez is committed to handling your data in accordance with applicable laws, including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023 (India), and, where relevant, international data protection standards.

You retain full ownership of the CRM data you migrate using our Service. We do not claim any rights over your CRM records, and we process such data solely for the purpose of executing your authorized migration tasks. This includes, where applicable, the use of temporary metadata (such as source and destination record IDs) to support accurate mapping and deduplication. Files and attachments transferred during migration may be temporarily held in secure storage and are automatically removed through scheduled system maintenance.

Separately, when you create an account or initiate a migration through Migratez, we collect operational information such as your name, email address, migration history, and usage preferences. This information is not part of your CRM data — it is part of our platform data and is used to deliver the Service, provide technical support, maintain logs, analyze service performance, and communicate with you about your account.

Where you have provided consent (e.g. by subscribing or opting in), we may also use your contact information to send you relevant updates, product announcements, or educational material. You may opt out of non-essential communications at any time by using the unsubscribe link in our emails or updating your preferences.

11. Support Terms

Migratez provides customer support to assist users throughout the migration process and to help resolve technical or operational issues related to the Service.

Support is available via email at [support@migratez.com] and through any other official channels we may offer on the Website. While we do not guarantee specific response times, we make a best-effort commitment to respond to most queries within 48 hours of receipt.

Support is intended to help with:

• Accessing and using the Migratez platform

• Understanding migration outputs or errors

• Troubleshooting issues encountered during the use of the Service

• Addressing billing, account, or general usage questions

Support does not include:

• Debugging issues in your source or destination CRM

• Performing manual data cleaning, mapping, or validation

• Offering legal, financial, or third-party CRM advice

• Resolving issues caused by parallel use of other migration tools or custom scripts

You agree to provide clear, complete, and timely information when reaching out to support. If we do not receive a response from your side in a reasonable time, we may close the request or take action based on available context.

12. Third-Party Content and Services

The Migratez Website and Service may contain links to, integrate with, or rely on third-party websites, applications, APIs, or platforms—including but not limited to CRM providers, data storage tools, and authentication services. These third-party services are not owned or controlled by Migratez, and we do not endorse, monitor, or assume responsibility for any content, policies, functionality, or practices of such third parties.

Your use of any third-party services is subject to the respective terms, policies, and privacy practices of those providers. Migratez is not liable for any issues, data loss, service interruptions, or limitations arising from the use of or integration with any third-party platform, including cases where such platforms impose API restrictions, rate limits, data format changes, or unexpected behavior.

You acknowledge that Migratez’s ability to perform certain operations (such as reading, writing, or syncing data) may depend on the availability, reliability, and permissions granted by such third-party services. You are solely responsible for maintaining your own valid access credentials, permissions, and compliance with any third-party terms related to the services you connect to Migratez.

If you choose to leave our Website or interact with third-party services through our platform, you do so at your own risk.


13. Termination of Service

You may stop using the Migratez Service at any time by discontinuing use of the Website or contacting us to close your account.

Migratez reserves the right to suspend or terminate your access to the Service, with or without notice, at our sole discretion, if we believe you have violated these Terms, engaged in fraudulent or abusive behavior, interfered with the integrity or security of the Service, or if required to do so by law or regulatory obligation.

Upon termination:

• Your right to access and use the Service will immediately cease.

• Any ongoing or scheduled migrations may be cancelled.

• We may delete or deactivate your account and remove any data or content associated with your use of the Service, except where we are required or permitted to retain such data under law or for operational reasons (e.g., logs or metadata).

We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service or termination of your account. However, we will make reasonable efforts to inform you in advance if your access is being terminated for reasons other than your breach of these Terms.

Sections of these Terms that, by their nature, should survive termination (including but not limited to intellectual property rights, disclaimers, limitations of liability, indemnity, and governing law) shall continue to apply even after your use of the Service ends.


14. Governing Law and Dispute Resolution

These Terms of Service, and any dispute arising out of or in connection with your use of the Migratez Website or Service, shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles.

Subject to the paragraph below, the courts located in India, shall have exclusive jurisdiction over all disputes arising under or in connection with these Terms, and you consent to the personal jurisdiction of such courts.

Before initiating legal proceedings, both parties agree to attempt to resolve any dispute through good-faith discussions. If informal resolution is not achieved within thirty (30) days, either party may pursue legal remedies as outlined above.


15. Payment and Refund Terms

All pricing for the Migratez Service is displayed in Indian Rupees (INR) or U.S. Dollars (USD), unless otherwise stated, and is subject to change at our sole discretion. Payment must be made in full before any data migration or related service is initiated, unless expressly agreed upon in writing.

Payment Terms

You agree to pay all fees associated with your use of the Service in accordance with the pricing and terms presented at the time of purchase or agreed through a custom engagement. Payment may be processed via third-party payment processors, and you authorize Migratez to charge your selected payment method accordingly.

You are responsible for any applicable taxes, duties, or levies associated with the Service, except for taxes based solely on Migratez’s income.

Refund Policy

Migratez offers a one-time migration service and, as such, payments are generally non-refundable once a migration job is initiated. However, we may, at our sole discretion, offer partial or full refunds under the following conditions:

• If a major technical issue is encountered that is clearly attributable to a fault in Migratez’s platform and cannot be resolved within a reasonable time frame, and

• If you report the issue within five (5) business days of the migration being marked complete.

Refunds will not be provided in cases where:

• Issues arise due to improper configuration or use of the source or destination CRM

• You have used other tools simultaneously during the migration

• You fail to respond in a timely manner to support requests necessary to resolve an issue

• The problem stems from unsupported CRM customizations or third-party modules not included in standard migrations

In all cases, Migratez’s liability is limited to the amount paid for the specific migration job. Refunds, if granted, will be processed using the original payment method. Migratez does not cover any transaction fees or currency conversion charges applied by your payment provider.
